C3 Fuzion – Disclaimer, Terms, and Limitation of Liability

C3 Fuzion operates solely as a connector platform to facilitate introductions between independent Virtual Assistants (“VAs”) and businesses, entrepreneurs, or other individuals seeking VA services (“Clients”). We are not an employer of the VAs listed or introduced through our services, nor are we an agent, representative, or legal partner of either the VA or the Client.

By using our services, platform, or any related resources, you acknowledge and agree to the following:

Independent Contractor Status
All VAs introduced through C3 Fuzion operate as independent contractors and are not employees, agents, or representatives of C3 Fuzion. We do not hire, employ, supervise, manage, or control the work or schedules of VAs. We are not liable for any actions, omissions, or performance by individual VAs. Clients acknowledge that any work product, services, or deliverables are provided by independent contractors under a separate contractual relationship with the client.

No Guarantee of Performance or Results
We make no promises, warranties, or guarantees—express or implied—regarding the performance, reliability, conduct, or suitability of any VA or Client. Any descriptions, profiles, or information shared about VAs or Clients are based solely on materials provided by those individuals and are not independently verified unless expressly stated.

Due Diligence is Your Responsibility
Clients are solely responsible for conducting their own vetting process, including but not limited to interviews, skills tests, reference checks, and background screenings. VAs are solely responsible for confirming the legitimacy, payment reliability, and working terms of any Client before entering into a professional agreement.

Contracts & Payments
Any contracts, agreements, or payment arrangements are entered into directly between the Client and the VA. C3 Fuzion is not a party to any contract or financial transaction between Clients and VAs. We do not process, hold, or guarantee payment for work performed.

Limitation of Liability
C3 Fuzion is not liable for any losses, damages, costs, expenses, claims, disputes, or legal actions that may arise from your use of our services or from any relationship between a Client and a VA. This includes, but is not limited to: missed deadlines, work errors, non-payment, contract disputes, loss of data, business interruptions, reputational harm, or any incidental, consequential, or punitive damages.

Indemnification
You agree to indemnify, defend, and hold harmless C3 Fuzion, its affiliates, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our services, your violation of these Terms, or your contractual or working relationship with any VA introduced through our platform.

No Legal, Tax, or Business Advice
We do not provide legal, tax, HR, payroll, or business consulting services. Any resources, templates, or tips shared through our platform are for informational purposes only and should not be considered professional advice. We share resources, templates, and tips to help you work more effectively, but these materials are provided for general information only. They should not be considered legal, tax, or financial advice, and we recommend consulting qualified professionals before acting on them.

Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms, our services, or your relationship with C3 Fuzion shall be resolved through binding arbitration in the State of Colorado, under the laws of the State of Colorado, without regard to its conflict of law provisions. The decision of the arbitrator shall be final and binding on the parties, and judgment may be entered thereon in any court of competent jurisdiction. Each party shall bear its own costs and expenses of arbitration, including attorneys’ fees, unless otherwise awarded by the arbitrator.

By engaging with C3 Fuzion, whether as a VA, a Client, or otherwise, you acknowledge that you have read, understood, and agreed to the terms of this Disclaimer and Limitation of Liability.
